  1.                     END USER AGREEMENT
  2.  
  3. BY DOWNLOADING THIS SOFTWARE, YOU AGREE TO ABIDE BY THE TERMS OF
  4.                                 THIS END USER AGREEMENT
  5.     Subject to the terms and conditions provided below, Absolute
  6. Protect, located at 1117 Queen W #294 Toronto, Ontario, Canada M6J 3P4
  7. hereby grants the following license to you for the AbsoluteProtect
  8. Computer Theft Recovery Software(the "Software").
  9.  
  10. 1. Grant of License. Absolute Protect grants to you a non-exclusive, 
  11.  non-transferable license to install and use the Software on your computer.  
  12.  Such license grant is conditioned upon the following limitations: 
  13.  (i) copies of the Software may be made for backup and archival purposes only; 
  14.  (ii) you do not reverse engineer, decompile or disassemble the Software; and 
  15.  (iii) you do not use the Software for purposes other than as authorized in 
  16.  this end user agreement or knowingly permit anyone else to do so;
  17.  (iv) you agree the Absolute Protect will monitor some of this messages
  18.  for the purpose of improving service quolity.

  20. 2. Term of License.  This license is effective until terminated.  You may
  21.  terminate it any time by deleting the Software and all accompanying
  22.  documentation and copies thereof from your computer. You may transfer the
  23.  Software provided that (i) the transferee fully accepts the terms and
  24.  conditions of this Agreement and (ii) all complete or partial copies of the
  25.  Software, including copies on data storage devices, are also transferred or
  26.  destroyed.  This license will terminate automatically if you fail to
  27.  comply with any term or condition of this Agreement
  28.  
  29. 3. Intellectual Property.  All rights to the Software and all copyrights
  30.  patents, trademarks, service marks, or other proprietary rights relating
  31.  thereto are and shall remain with Absolute Protect. You acknowledge that 
  32.  no rights, title or interest in these items is granted under this Agreement
  33.  Authorized copies of the Software shall contain all copyright notices or
  34.  proprietary legends that are contained or embedded in the Software
  35.  You must no change Software.

  37. 4. Limited Warranty. THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT
  38.  EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, INCLUDING BUT NOT
  39.  LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS
  40.  FOR A PARTICULAR PURPOSE, AND ALL SUCH OTHER WARRANTIES ARE
  41.  EXPRESSLY DISCLAIMED
  42.  
  43. 5. Limitation of Liability.  IN NO EVENT WILL Absolute Protect BE LIABLE 
  44.  TO YOU OR ANY OTHER PARTY FOR ANY LOST PROFITS, LOST SAVINGS OR OTHER
  45.  INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  46.  EVEN IF Absolute Protect HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
  47.  DAMAGES.  IN NO EVENT SHALL Absolute Protect's LIABILITY EXCEED THE FEE
  48.  PAID FOR THE SOFTWARE

  50. 6. General. If any provision or part of any provision of this Agreement
  51.  shall be held invalid or unenforceable, such part shall be ineffective
  52.  without in any way affecting the remaining parts of such provision or the
  53.  remaining provisions of this Agreement
  54.  
  55. 7. Export Compliance. You agree to comply with applicable Canada export
  56.  laws and regulations in connection with the acquisition, use and transfer
  57.  of the Software
  58.  
  59. 8. Government End Users.  The Software is subject to Restricted Rights
  60.  and is subject to the restrictions set forth in the applicable Federal
  61.  Acquisitions Regulations
  62.  
  63. CERTAIN JURISDICTIONS PROVIDE FOR GREATER RIGHTS THAN WHAT
  64. IS PROVIDED IN THIS AGREEMENT.  YOUR RIGHTS WITH RESPECT
  65. TO THIS AGREEMENT MAY VARY DEPENDING ON YOUR JURISDICTION
  66. MODIFICATION OF THESE TERMS AND CONDITIONS
